Presentation of the book Corporate Governance and Purpose

On 3 June, Sérvulo & Associados will host the presentation session of the book Corporate Governance and Purpose, with the presence of Miguel Athayde Marques, Vice-Rector of Universidade Católica Portuguesa, Filipe Santos, Dean of Católica Lisbon School of Business & Economics and the author, Paulo Câmara, Partner at Sérvulo & Associados and Visiting Professor at Universidade Católica Portuguesa (Lisbon). The event will be opened by Manuel Magalhães, Managing Partner of Sérvulo & Associados. 
 
The purpose of this book is to expose and evaluate the implications that the assumption of corporate objectives relating to social and environmental sustainability has in terms of the governance structure of listed companies. To this end, a threefold perspective is used, travelling successively through the historical framework, the legal construction and corporate governance around the corporate purpose. In this last dimension, the consequences of the corporate purpose are analysed in terms of the duties of directors, the management of corporate reputation, the business judgement rule, the structure and composition of the board of directors, remuneration policy, information duties, the role of institutional investors, the powers of shareholders and takeover bids. The process of transforming business practices and the surrounding regulatory data in which the entire corporate governance system is irrevocably called upon is analysed.
