The challenges of Corporate Governance

In an interview to the Portuguese business daily Diário Económico, Paulo Câmara, Managing Partner of SÉRVULO and lawyer specialised in Finance Law and Corporate Governance, talks of the challenges faced by business management in view of the recent events that marked the closing year in Portugal.

In Mr Câmara’s opinion “crises are not the negation of governance, but the affirmation of its importance”. One of the ideas that he goes on to defend, is that it is necessary to make more transparent the transactions between related parties: “if there is a business transaction that a company carries out with its administrator, said transaction must be approved by the board, and before by a prior opinion of the supervisory board. The same rules should apply when a business transaction is carried out with the company shareholder”.
